(1) Pursuant to Rule 416(c) of the Securities Act of 1933, as amended (the “Securities Act”), this Registration Statement shall also cover an indeterminate amount of any additional shares of the Registrant’s Common Stock that become issuable under any of the listed plans by reason of any stock dividend, stock split, recapitalization or other similar transaction effected without receipt of consideration, which results in an increase in the number of the Registrant’s outstanding shares of Common Stock.

(“Tamarac”), Envestnet, Inc. and Titan Merger Corp. and KLJ Consulting, LLC (as the Shareholders’ Representative) (the “Merger Agreement”). In accordance with the Merger Agreement, shares of the Registrant’s Common Stock (the “Incentive Shares”) may be delivered under the Envestnet, Inc. Management Incentive Plan for Envestnet | Tamarac Management Employees to certain management employees of Tamarac as a material inducement of employment with the Registrant or one of its subsidiaries. The Incentive Shares are being awarded outside of the Registrant’s stockholder-approved plan.
